Transaction Announcement

Rockmount Acquired by Tricor Pacific Capital

Moss Adams, via its affiliate Moss Adams Capital, served as the exclusive financial advisor to Rockmount Research & Alloys, Inc. (Rockmount) in its sale to Tricor Pacific Capital (Tricor), a Canadian, privately held family office founded in 1996.

Tricor adopts a long-term view when investing in privately held companies, seeking to invest, build and hold assets inter-generationally and create lasting impacts for all stakeholders.

Rockmount develops and distributes its own branded, consumable, industrial welding-alloy products and accessories. The company has 14 individual trademarked product lines and distributes approximately 55 welding-related products, which are widely respected for their superior quality.

Rockmount sells products at premium prices to a highly diversified customer base in the United States and Canada, including customers in construction and engineering, agriculture, oil and gas and metals and mining.

This combination is expected to yield organic growth through expansion into new sales territories, especially in the Eastern United States and throughout Canada. All Rockmount employees will remain with their current senior management teams, which will continue leading operations. Chuck Foster, the founder of Rockmount, will remain as a senior advisor to Rockmount.

“I’m so happy I chose Moss Adams Capital to represent me in the sale of my business,” said Chuck Foster after the transaction closed, “The team was efficient, supportive, and easy to work with at every stage of the transaction. Job well done.”

This acquisition represents another successful transaction by the Moss Adams Capital team, serving the Industrials and Distribution Industries. Moss Adams is the premier provider of financial advisory services to the Distribution Industry, which includes investment banking, accounting, tax planning and strategic planning services.

Throughout the transaction, Moss Adams Capital worked closely with the Moss Adams Portland office’s assurance and tax teams, providing tax, estate and assurance advice to Rockmount and its shareholders. Moss Adams partners Justin Eckley and Paul Waldram, senior manager Clay Martin and senior financial advisor Chris Waetzig will continue serving the Foster Family and Rockmount after the transaction.
